This seminar will focus on key topics in corporations and Environmental, Social & Governance (ESG). We will cover a range of issues involving the role of the corporation in society and how best to hold them accountable. Topics will include: the interplay between the different agency problems in the corporate setting; different forms of activism against the corporation; shareholder proposals; and ESG regulatory issues. Each of these issues will be introduced by readings and presentations, but the classes will rely on student discussion and critical evaluation of the papers and positions we examine. Many classes will have guest speakers who are experts in the respective area. The course is designed for students with interest in corporate governance and ESG. However, earlier knowledge of these areas is helpful but not required.
Prerequisite: Corporations and Partnerships.
