Advising Startups: Advising Startups introduces students to the transactional lawyering considerations involved in organizing and representing an emerging growth business. The course works through the life cycle of startup companies, including selecting the appropriate entity form, structuring the economic interests and managerial control among various owners, key intellectual property protections, employee hiring considerations, the lawyer’s duties to the entity in dealing with its founders and management, various approaches to raising capital, and customary exit strategies. Using actual startup examples, students will learn the applicable law and review and analyze legal documents typically used in organizing and growing a startup business. Theory and practice are combined to prepare students for the types of projects and challenges they will confront as lawyers representing startups.
