This course introduces students to corporate reorganizations under Chapter 11 of the US Bankruptcy Code. The course will include a discussion of documents and remedies relating to corporate lending relationships, as well as workouts once a borrower experiences financial distress. Major Bankruptcy Code topics to be covered include the bankruptcy estate, the automatic stay, claims, DIP financing, avoiding powers, executory contracts and plans of reorganization. The subject of insider and affiliate discharges will be examined through study of the U.S. Supreme Court’s recent Purdue Pharma decision. The course will conclude with an examination of the complexities arising in cross-border restructurings. During the course, students will also be introduced to other types of bankruptcy, including personal and small business.
